Important Corviable Service Plan Policies: By submitting a service inquiry to Corviable LLC or any of its affiliated vendors, subsidiaries, strategic partners, agents, data-processors, or service providers (collectively, “Corviable”), the prospective client (“Client”) irrevocably acknowledges, consents, accepts, affirms, and agrees to be bound, without exception or limitation, by the entirety of Corviable’s Terms & Conditions, Policies, Service Agreements, Privacy Standards, Operational Protocols, and any subsequently issued amendments or incorporated references thereto, and the Client expressly, knowingly, intentionally, and voluntarily waives any right to dispute, challenge, litigate, contest, repudiate, rescind, or otherwise object to their applicability, enforceability, scope, or validity in any venue or forum, whether judicial, administrative, arbitral, or regulatory, including those situated outside the United States. Corviable, in its sole, exclusive, and absolute discretion, may elect to provide or refuse to provide services to the Client irrespective of geographic location or jurisdictional placement, and Corviable’s warranties, guarantees (if any), duties, and obligations are strictly and narrowly limited to those expressly required and mandated by applicable U.S. federal law, Michigan state law, or relevant international regulatory compliance frameworks, consistent with prevailing industry standards as of the commencement of service. Corviable acts solely as administrative agent and may act as power of attorney for the Client only where expressly authorized in writing; Corviable shall not, under any circumstances, be held liable or responsible for any financial losses, competitive disadvantages, operational outcomes, regulatory penalties, legal consequences, or business impacts incurred by the Client, whether direct, indirect, incidental, consequential, or punitive, arising from services provided, recommendations issued, or actions taken in reliance upon information supplied by the Client. A mandatory, one-time, non-refundable $500 USD Consultation & Analysis Fee is due and payable in full at the time of application submission; this fee is invoiced separately from any service-plan fees, cannot be negotiated, waived, discounted, credited, or deferred under any circumstances, and compensates Corviable for application processing, initial consultation, client review, business verification, financial assessment, service coordination, and onboarding preparation. Payment of the Consultation & Analysis Fee does not guarantee acceptance or approval for services; approval remains contingent solely upon Corviable’s internal determination criteria and subjective commercial evaluation. No additional service-related fees shall be charged until the Client is formally approved for services and elects to proceed with a Corviable service subscription. In the event that the Client’s application is denied, the fee is forfeited in its entirety; however, the Client will be provided with a Business Analysis Report outlining the current state of their business, identified deficiencies, and suggested areas of operational or strategic improvement. Upon acceptance and prequalification, the Client’s service-plan rate shall be calculated exclusively from the Client’s verified monthly gross revenue; startup, pre-revenue, or newly-formed entities shall be assigned to Corviable’s minimum-billing tier, while revenue-producing businesses shall be allocated to their appropriate pricing tier, up to the maximum pricing permissible within the selected service category. Each service plan applies strictly to one singular legal business entity; additional entities, DBAs, fictitious names, holding corporations, affiliated companies, umbrella-group subsidiaries, franchises, and/or asset-linked entities require separate enrolled service plans and subject Corviable to reassessment of billing, up to and including fee increases and service-tier modifications. Clients whose verified monthly gross revenue exceeds $10,000,000 USD, and/or who are governmental, public-sector, institutional, or state-funded organizations, and/or who operate ten (10) or more physical locations, shall be automatically subject to a billing multiplier of five-times (5×) the standard rate due to escalated resource allocation demands, administrative complexity, and operational intensity. Corviable maintains unilateral and unrestricted right to approve or reject any application at its sole discretion, in whole or in part, for any reason or for no stated reason, without obligation of explanation or disclosure of assessment criteria. All service plans require a minimum contractual commitment of sixty (60) months (five years), and upon expiration will automatically renew for successive sixty-month terms unless the Client submits written notice of non-renewal no later than thirty (30) calendar days prior to the conclusion of the existing term. All fees are strictly non-negotiable and no discounts, refunds, transfers, credits, offsets, hardship-adjustments, subsidies, abatements, or exemptions shall be extended for any reason whatsoever. Unless explicitly agreed to in written contractual form, fees are invoiced monthly; alternative invoicing schedules (weekly, quarterly, annual, or lump-sum) may be offered only through written authorization from Corviable, but regardless of invoicing format, all fees remain non-transferable, non-creditable, non-refundable, and may not be suspended, modified, or voided due to cancellation, non-use, interruption, or early termination of services. Any balance not remitted by the invoice due-date shall incur a late penalty of $150 USD per day until full payment is received and posted. Corviable retains unconditional authority to engage legal counsel, collection agencies, debt enforcement contractors, and any other authorized recovery entity beginning on the thirtieth (30th) day past due; such collection activity may result in civil litigation, credit impact, asset levy, lien placement, garnishment, or other legally permissible remedies under applicable law. All policies, terms, agreements, provisions, and disclosures herein shall be governed by and construed exclusively under the laws of the State of Michigan, USA, without regard to any conflict-of-law doctrines, and in full compliance with all relevant federal, state, and international statutes, treaties, and legal principles.
